Company Law Compliance Reminder
Pursuant to Section 47(1) of the Companies Act 2016, companies are required to keep the following documents at their registered office:

- Notice of registration and the company’s constitution
- Certificates issued under the Act
- Registers, books, records, and prescribed documents
- Minutes of meetings and resolutions of members, directors, and committees
- Written communications to members or shareholders
- Financial statements and accounting records (Section 245)
- Instruments creating or evidencing charges (Section 357)
- Any other documents required by the Registrar
Penalty for non-compliance:
Failure to comply is an offence. On conviction, the company and its officers are liable to a fine not exceeding RM10,000, and for a continuing offence, a further fine of RM500 per day.
Important Point:
It is essential that all statutory records are properly maintained and kept at the registered office to ensure compliance and avoid penalties.
