Pursuant to Section 47(1) of the Companies Act 2016, companies are required to keep the following documents at their registered office:

  1. Notice of registration and the company’s constitution
  2. Certificates issued under the Act
  3. Registers, books, records, and prescribed documents
  4. Minutes of meetings and resolutions of members, directors, and committees
  5. Written communications to members or shareholders
  6. Financial statements and accounting records (Section 245)
  7. Instruments creating or evidencing charges (Section 357)
  8. Any other documents required by the Registrar

Penalty for non-compliance:
Failure to comply is an offence. On conviction, the company and its officers are liable to a fine not exceeding RM10,000, and for a continuing offence, a further fine of RM500 per day.

It is essential that all statutory records are properly maintained and kept at the registered office to ensure compliance and avoid penalties.
